Terms of Service

By accessing or using CampusChain Intelligence (“the Platform” or “the Service”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference.

If you are accessing the Platform on behalf of an institution, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to both the individual and the entity.

CampusChain Intelligence is a B2B Software-as-a-Service (SaaS) platform providing institutional crypto and stablecoin treasury management, analytics, compliance monitoring, and financial intelligence tools for universities and higher education institutions.

The Platform is operated by InstructAI LLC, a Delaware Limited Liability Company. CampusChain Intelligence is offered under annual subscription agreements and is designed exclusively for institutional purchasers.

The Service is intended exclusively for institutional clients and their authorized representatives, including:

• University and college finance and treasury departments
• Endowment management offices
• Higher education financial operations teams
• Related institutional purchasers authorized to enter procurement agreements

Users must be at least 18 years of age and must be authorized representatives of their institution. By using the Platform, you represent and warrant that you meet these eligibility requirements. InstructAI LLC reserves the right to verify institutional affiliation before granting access.

You agree to use CampusChain Intelligence only for lawful purposes and in accordance with these Terms. The following uses are strictly prohibited:

• (a) Violation of applicable law: any use that violates federal, state, local, or international law or regulation
• (b) OFAC sanctions violations: any use that violates U.S. Treasury OFAC sanctions programs or applicable export control laws
• (c) Unauthorized access: accessing or attempting to access accounts, systems, or data belonging to other users or third parties without authorization
• (d) Reverse engineering: attempting to reverse engineer, decompile, disassemble, or derive source code from the Platform
• (e) FERPA violations: using the Platform to process student education records in violation of FERPA without appropriate data use agreements
• (f) Financial crime: using the Platform to facilitate money laundering, terrorist financing, or any other financial crime
• (g) Unauthorized resale: reselling, sublicensing, or transferring access to the Platform without prior written consent from InstructAI LLC

CampusChain Intelligence is offered under annual subscription agreements. The following terms apply to all subscriptions:

• Annual billing: all subscriptions are billed annually in advance per the applicable order form
• Pricing: pricing is determined by the executed order form and is subject to change with 60 days’ notice upon renewal
• Payment terms: net-30 days from invoice date, unless otherwise agreed in writing
• Non-refundable fees: all subscription fees are non-refundable absent material breach by InstructAI LLC
• Late payments: invoices unpaid after 30 days may accrue interest at 1.5% per month or the maximum allowed by law
• Taxes: client is responsible for all applicable taxes, levies, or duties imposed on the subscription

CampusChain Intelligence is available via direct procurement. InstructAI LLC is committed to supporting university purchasing processes and can provide the following upon request:

• IRS Form W-9 (taxpayer identification)
• Vendor registration materials
• Certificate of insurance
• Data Processing Agreement (DPA) for institutions subject to GLBA, FERPA, or state privacy laws
• Business Associate Agreement (BAA) where applicable
• Security and compliance documentation (SOC 2 readiness summary, security posture overview)

Compliance Disclaimer: Compliance monitoring features, OFAC screening tools, and risk analytics are informational tools only. They do not guarantee regulatory compliance and do not constitute legal opinions or compliance certifications. Institutions remain responsible for their own compliance programs.

InstructAI LLC’s total aggregate liability to any institutional client for claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by that institution to InstructAI LLC in the twelve (12) months immediately preceding the claim giving rise to liability.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, InstructAI LLC’s liability is limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless InstructAI LLC and its officers, directors, employees, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your misuse of the Platform or violation of these Terms
• Your violation of any applicable law or regulation, including OFAC sanctions and FERPA requirements
• Your institution’s unauthorized access to or use of third-party data or systems
• Any content or data submitted by you or your authorized users through the Platform

CampusChain Intelligence, its software, underlying technology, branding, trademarks, logos, and all content and materials available through the Platform are owned by InstructAI LLC or its licensors and are protected by U.S. and international intellectual property laws.

Subject to your compliance with these Terms and payment of applicable subscription fees, InstructAI LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your institution’s internal business purposes during the subscription term. No other rights are granted.

You may not copy, modify, distribute, publicly display, create derivative works from, or sublicense any portion of the Platform without InstructAI LLC’s prior written consent.

The collection, use, and protection of personal information provided through or in connection with the Platform is governed by InstructAI LLC’s Privacy Policy, which is incorporated into these Terms by reference.

Institutional clients that require a Data Processing Agreement (DPA), Business Associate Agreement (BAA), or other data governance documentation for compliance purposes should contact richd@udel.edu.

InstructAI LLC may suspend or terminate your access to the Platform immediately upon written notice for material breach of these Terms, including but not limited to: non-payment of fees, violation of the Acceptable Use Policy, or engaging in conduct harmful to other users or InstructAI LLC.

Upon termination or expiration of your subscription:

• Your license to use the Platform immediately terminates
• InstructAI LLC will retain your institutional data for the period specified in the Privacy Policy and any applicable DPA
• You may request export of your data within 30 days of termination; thereafter data may be deleted
• Accrued payment obligations and provisions that by their nature should survive termination shall remain in effect

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware. Both parties irrevocably submit to the personal jurisdiction of such courts.

Jury Trial Waiver: TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THEIR RESPECTIVE RIGHTS TO A TRIAL BY JURY FOR ANY CLAIM OR CAUSE OF ACTION ARISING UNDER OR RELATING TO THESE TERMS OR THE SERVICE.

No Class Actions: All claims must be brought in the parties’ individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. Class action arbitration and class arbitration are expressly waived.

InstructAI LLC reserves the right to update or modify these Terms of Service at any time. When we make material changes, we will update the “Last updated” date at the top of this page and notify institutional clients by email or platform notification.

Your continued use of CampusChain Intelligence after the effective date of revised Terms constitutes your acceptance of the modifications. We encourage you to review these Terms periodically.
